The terms we work by.

The agreement.

These Terms & Conditions ("Terms") form a binding agreement between you ("you", "Customer") and Nexobe Limited ("Nexobe", "we", "us"). By creating an account or using any Nexobe product, you agree to these Terms. If you don't agree, don't use the products.

If you're using Nexobe on behalf of a business, you confirm you have authority to bind that business to these Terms, and "you" means both you and the business.

Definitions.

Products

Otteri, Nuqsaf, AirDrv, Pikcel, Snap.Photo, Vepery, Caviti, and any other software services Nexobe operates from time to time.

Account

Your registered profile and the credentials used to access the Products.

Customer Content

Any text, prompt, voice recording, image, document, or other material you submit to a Product.

Output

Any generated content a Product produces in response to your Customer Content.

Subscription Term

The period during which you've paid for or are entitled to use a paid plan.

Your account.

• You must be at least 13 years old (or older where local law requires) to use Nexobe.
• You must provide accurate information and keep it current.
• You're responsible for activity under your account, including activity by anyone you authorise.
• Keep your credentials secret. If you suspect unauthorised access, tell us immediately at security@nexobe.com.
• One person, one account. Don't share login credentials. Teams can buy team plans.

Licence to use.

Subject to these Terms and your payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Products during your Subscription Term, for your internal business or personal use.

That licence does not include the right to: resell or sublicense the Products; reverse-engineer them; train competing AI models on Output we produce for you; build a substantially similar service; or remove our branding from anything we ask you to keep branded.

Your content.

You keep ownership of your Customer Content. You grant us a worldwide, royalty-free licence to host, store, process, transmit, display, and create derivative works of your Customer Content solely to operate the Products and provide the service to you.

You're responsible for your Customer Content. You confirm:

• You have the rights you need to submit it to us and grant us the licence above.
• It does not infringe anyone's rights or violate any law.
• It does not contain personal information of someone else without their consent (especially relevant for AirDrv calls and Pikcel/Snap.Photo headshots).

We may remove Customer Content that violates these Terms or that we're legally required to remove. We'll tell you when we do, unless the law requires otherwise.

AI output.

Nexobe products use artificial intelligence. AI gets things wrong. Output may be inaccurate, incomplete, biased, offensive, or out of date. Do not rely on Output for decisions where accuracy is critical without independent human review.

Specific cautions by product type:

• AirDrv is not a substitute for a clinician. Emergency triage by AirDrv is conservative by design but should be reviewed by a human at the practice.
• Otteri deep research and citations should be verified before publication or external use.
• Pikcel and Snap.Photo generate images that may not perfectly resemble the subject. Use at your discretion.
• Nuqsaf AI features (categorisation, insights) are informational, not financial advice.

As between you and us, you own the Output produced by a Product in response to your Customer Content, to the extent permitted by law and subject to the rights of the underlying model providers. You're responsible for using Output lawfully and ethically.

Acceptable use.

You may not use the Products to:

• Break the law or help anyone else break it.
• Harass, threaten, defame, or impersonate any person.
• Generate, request, or distribute child sexual abuse material — ever.
• Generate non-consensual intimate imagery, including of public figures.
• Generate disinformation designed to deceive at scale.
• Bypass safety controls, jailbreak models, or extract proprietary system prompts.
• Attempt to identify training data subjects without their consent.
• Interfere with our infrastructure, including denial-of-service attempts, scraping at volume, or attempts to map internal endpoints.
• Resell the Products or wrap them in a thin shell and resell them as your own.

We may suspend or terminate accounts that violate this section. We may report serious violations to authorities.

Fees and billing.

• Paid plans are billed in advance, monthly or annually, in the currency shown at checkout.
• Unless your plan says otherwise, subscriptions auto-renew at the end of each billing period at the then-current price.
• You can cancel any time. Cancellation stops the next renewal — it does not refund the current period.
• We don't usually issue refunds for partial periods, but we'll consider exceptions case by case. Email billing@nexobe.com.
• Taxes are your responsibility unless we're required by law to collect them, in which case we'll add them at checkout.
• Failed payments may result in suspension. We'll try to notify you and give you a chance to fix it before we do.

Third-party services.

Some Products integrate with third parties — calendars, banks, payment networks, AI model providers. Your use of those services is governed by their terms, not ours. We don't control them and don't guarantee their continued availability. If a third party changes its API or shuts down, we'll do our best to adapt — but we can't promise a feature dependent on a third party will always exist.

Our intellectual property.

Nexobe, the product names, logos, designs, code, model fine-tunes, and documentation are owned by us or our licensors. These Terms do not transfer any of those rights to you. Don't use our brand assets without written permission. Feedback you send us is our property — but we won't use it in a way that identifies you without permission.

Warranties.

We provide the Products "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties — including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do warrant that we'll provide the Products with reasonable care and skill, in line with the standards of the industry, and that we won't knowingly introduce malicious code into them.

Limitation of liability.

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, lost data, or business interruption.
• Our total liability for all claims arising from or related to these Terms is capped at the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100.
• Nothing in these Terms limits liability that cannot be limited under applicable law — including liability for fraud, gross negligence, or death or personal injury caused by our negligence.

Termination.

You can stop using the Products and close your account at any time. We can suspend or terminate your account if you violate these Terms, if your use creates a risk to us or other customers, or if we're required by law.

On termination: paid balances for the remainder of the current period are non-refundable except where the law requires; your access to the Products ends; we delete your Customer Content within 30 days, except where retention is required by law (see the Privacy Policy for product-specific retention).

Governing law.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England have exclusive jurisdiction over disputes arising from these Terms — except that we may seek injunctive relief in any court with jurisdiction to protect our IP or confidential information.

Where a Product is provided to consumers in a jurisdiction whose mandatory consumer protection laws override this clause, those laws apply to that extent.

Changes to these Terms.

We may update these Terms. The "Last updated" date at the top tells you when. For material changes that meaningfully affect your rights or obligations, we'll notify you by email or in-product notice at least 30 days before the change takes effect. Continuing to use the Products after the change means you accept the new Terms.
